Membership

 

Composition

  1. The membership of the COALITION shall be open to all the individuals, agencies, and organizations interested in working towards our mission and achieving our goals.

  2. To be a member in good standing, each individual or agency representative shall complete a membership form, submit payment, and meet such other criteria as determined by the Board of Directors.

  3. The COALITION shall endeavor to seek and obtain a broad membership representation.  In order to maintain appropriate representation from constituencies and institutions, the COALITION shall endeavor to secure representation from the following sectors, including but not limited to:  Hispanic/Latino community, health and social services, county and city government, education, community-based organizations, faith-based community, business, and social organizations.

  4. There shall be no restriction as to the number of members comprising this organization.

Category of membership

The Board of Directors will, at their discretion, establish and amend, as needed, the schedule for dues of the organization to include but not limited to the following:

  1. Associate – Non-voting member.

  2. Individual – Voting member who fulfilled requirements on Composition B.

  3. Corporate – Voting member, representing an agency or corporate entity, who fulfilled requirements on Composition B.

The Membership Committee shall determine the category of any member.

Membership Application

  1. Persons requesting membership into the COALITION shall submit a written membership form annually with payment and direct it to the Membership Committee, which will ensure proper handling.

  2. Individual and associate memberships in the COALITION are not transferable or assignable.  Corporate members must assign their voting rights to a single individual during the term of their membership. They may reassign their voting rights in writing per procedures established by the Membership Committee and approved by the Board of Directors.

  3. Applicants stated views must be compatible with that of the guiding principles of the COALITION.

Annual Dues

  1. The Treasurer shall receive dues by the first meeting of each fiscal year as set forth by the Board of Directors.

  2. By resolution, the Board of Directors shall establish the amount of dues to be paid by each membership category.

Membership Responsibilities

The responsibilities of the COALITION membership shall include, but will not be limited to: 

  1. Participating in the activities and meetings sponsored by the COALITION.

  2. Attending membership meetings at least six times per year, or as necessary to conduct pertinent business matters.

  3. Serving on officially established committees, ad hoc committees, and task forces.

  4. Nominating and electing the Board of Directors members annually.

  5. Directly and indirectly working toward achieving the COALITION vision, mission, and goals.

Suspension or Termination of Membership 

  1. Any general member may resign at any time by submitting a written resignation with the Chair of the Membership Committee or, in his/her absence, the President.  Such resignation shall take effect at the time specified therein.

  2. Membership expires annually unless dues are paid within thirty (30) days after they become due and payable.

  3. The Board of Directors may vote for suspension or expulsion of a member or member agency if the member or member agency has engaged in conduct that was materially and seriously prejudicial to the guiding principles of the COALITION.

  4. Non-compliance with membership criteria as defined by the Board of Directors is cause for termination.

Conflict of Interest

A member shall abstain from voting, or the President shall disqualify said member from voting, on an issue that represents a conflict of interest; e.g. where personal and/or organizational benefits could result as a consequence of the vote, personal and/or organizational detrimental effects as a result of the vote, and in general, any situation in which the public duty or interest could be compromised in order to protect the private interest.
